Agreement for the Transfer to the Corporation of Delta of certain land adjacent to the Vancouver Landfill (known as “Portion of Lot 9”)

A. THAT Council approve Vancouver entering into a transfer agreement (the “Transfer Agreement”) between the City of Vancouver (“Vancouver”) and the Corporation of Delta (“Delta”), on terms generally as outlined in the Administrative Report dated February 18, 2013, entitled “Agreement for the Transfer to the Corporation of Delta of certain land adjacent to the Vancouver Landfill (known as “Portion of Lot 9”)”, for the transfer by Vancouver to Delta of a portion of lands adjacent to the Vancouver Landfill, known as “Portion of Lot 9”, for nominal consideration, including a covenant by Vancouver to indemnify Delta in certain limited circumstances.

B. THAT Council approve Vancouver entering into an agreement with Delta that will restrict Delta’s future use of the Portion of Lot 9 to limited park purposes (the “Park Covenant”), which includes an indemnity by each party to the other, all in accordance with the terms and conditions outlined in the Administrative Report dated February 18, 2013, entitled “Agreement for the Transfer to the Corporation of Delta of certain land adjacent to the Vancouver Landfill (known as “Portion of Lot 9”)”.

C. THAT no legal rights or obligations will arise and no consents, permissions, leases or licenses are granted by the above and none will arise or be granted unless and until all contemplated legal documentation has been (a) approved as to form by the Director of Legal Services and the General Manager of Engineering Services, and (b) executed and delivered by the Director of Legal Services on behalf of Vancouver.
