688 Cambie Street - Federal Office Negotiations
A. THAT Council affirm its March 25, 2010 direction authorizing the Director of Real Estate Services to enter into negotiations with Public Works and Government Services Canada (the "Federal Government") with respect to a proposed new Federal Office complex to be located on the City-owned site located at 688 Cambie Street and legally described as Block 48, District Lot 541, Plan 8970 (the "Entire Site").
B. THAT Council authorize the Director of Real Estate Services, in consultation with the Director of Legal Services and the City Manager, to finalize the terms and conditions of a development agreement (the "Development Agreement") with the Federal Government that sets out the legal framework for concluding a real estate transaction securing the Federal Government on a portion of the Entire Site; and
FURTHER THAT the Director of Legal Services be authorized to execute such Development Agreement.
C. THAT subject to approval of B above, as a component of the Development Agreement, the Director of Real Estate Services and Director of Legal Services, in consultation with the City Manager, be authorized to negotiate and register a legal encumbrance on the title to the Entire Site by way of an option to purchase (the "Option"), in favour of the Federal Government, for an exercise period of no longer than two (2) years from the Option registration date, and on such other terms and conditions to the satisfaction of the Director of Legal Services, to enable the Federal Government to secure preliminary development funding to cover the costs of design development, architectural fees, property appraisal costs, property purchase proceeds, environmental remediation costs, and such other expenses as may be incurred by the Federal Government.
D. THAT subject to approval of B above, as a component of the Development Agreement, the Director of Real Estate Services be authorized to submit a subdivision application to the City, in its regulatory capacity, to subdivide approximately one (1) acre of the Entire Site (the "Subdivided Site") for sale to the Federal Government, and once title to the Subdivided Site has been raised, to discharge the Option from the Entire Site for concurrent registration onto the Subdivided Site.
E. THAT subject to approval of B above, as a component of the Development Agreement, that Council authorize the Directors of Legal and Real Estate Services to enter into a legally binding contract of purchase and sale for the Subdivided Site (the "Sale Contract"), such sale being subject to the Subdivided Site being rezoned, and subject to further Council approval on the terms and conditions of the Sale Contract, including final approval of sale price for the Subdivided Site.
F. THAT subject to approval of B above, as a component of the Development Agreement, that once the Subdivided Site has been created, that the Director of Real Estate Services be authorized to submit a rezoning application to the City, in its regulatory capacity, to rezone the Subdivided Site, in collaboration with the Federal Government; provided that such Council direction will not in any way limit or fetter Council or the City and its officials, including the Approving Officer, in exercising their regulatory discretion with respect to considering the rezoning or permitting of the Subdivided Site.
G. That Council authorize the Director of Real Estate Services to undertake all necessary site investigations and preparations relating to the sale of the Subdivided Site; including environmental, hazardous material and geotechnical assessments, site surveys, appraisals and consultants fees, and subdivision and rezoning fees, with a total budget cost for 2011 of s.17(1); source of funding being the Property Endowment Fund.
H. THAT no legal rights or obligations shall arise or be created until each legal agreement is fully executed between the City and the Federal Government on terms and conditions to the satisfaction of the Director of Legal Services.
