SUBJECT:	Vancouver Museum Commission - Increase in Number of Commissioners and Members - Amendments to Bylaws

RECOMMENDATION

A. THAT Council approve such amendments to the Vancouver Museum Commission Bylaws as are necessary to increase the maximum number of Members and Commissioners of the Vancouver Museum Commission from 12 to 16; and

B. THAT Council approve amending section 4 of the Vancouver Museum Commission's Bylaws in order to carry out the intent of Recommendation A, such that section 4 of the Bylaws reads as follows:

"Membership in the Commission shall be restricted to those persons who are appointed as Commissioners by Council from time to time and there shall be a maximum of sixteen (16) Members unless otherwise approved by Council and any person appointed as a Commissioner by Council shall be deemed to be a Member of the Commission upon becoming a Commissioner and shall remain a Member as long as he/she is a Commissioner."

COUNCIL POLICY

On April 2, 1996 Council approved the Constitution and Bylaws for the Vancouver Museum Commission, including Bylaws concerning the appointment of the Vancouver Museum Commission's Commissioners by City Council.

PURPOSE

This report puts forward a request from the Vancouver Museum Commission (the "VMC") for Council to increase the maximum number of Members and Commissioners from twelve (12) to sixteen (16).

BACKGROUND

In 1996, Council approved a series of actions to undertake the process to revitalize the Vancouver Museum including the creation of a new governing society, the Vancouver Museum Commission. The Bylaws of the VMC provide that membership in the VMC is restricted to those persons who are appointed as Commissioners by Council and that unless otherwise approved by Council, there shall be a maximum number of 12 Members and accordingly, 12 Commissioners. There are currently 8 Commissioners appointed.

The VMC has asked Council to increase the maximum number of Commissioners and, concurrently the maximum number of Members, from 12 to 16. With a major revitalization program including a capital campaign in progress, they would like to increase their community base and the VMC's resources.

Pursuant to the VMC's Bylaws, a bylaw amendment, as proposed, requires a majority of not less than 75% of the present Members (Commissioners) to vote in favour of the change at a general meeting or unanimous consent through the execution of a written special resolution approving the change, and in each case an Order of Council approving the Bylaw amendment.

CONCLUSION

Staff support this proposed change noting that it provides for a larger governance resource. If Council approves this increase, staff will confirm the VMC's approval of this increase, in accordance with the VMC's Bylaws as noted above and will report back to Council with the Commission's nominations for Council's consideration.
